Para las LLC nuevas y existentes en el estado, puede ser necesario consultar a un <a href=\"https:\/\/tclgfirm.com\/es\/contactenos\/\">abogado mercantil<\/a> para proporcionar orientaci\u00f3n sobre esta nueva ley y comprender mejor qu\u00e9 cambiar\u00e1 cuando entre en vigor el 1 de enero de 2014. Una de las cuestiones que se abord\u00f3 fue la definici\u00f3n de \u201cmiembro gerente\u201d de la ley anterior. En la nueva ley, esa definici\u00f3n se ha eliminado, ya que generaba una considerable confusi\u00f3n para las empresas. En su lugar, la nueva ley crea una nueva norma por defecto que establece que las LLC son gestionadas por sus miembros, a menos que se indique expl\u00edcitamente lo contrario en los documentos constitutivos de la empresa. Anteriormente, era posible que se creara confusi\u00f3n sobre si solo hab\u00eda un \u201cmiembro gerente\u201d de una LLC gestionada por sus miembros o si el \u201cmiembro gerente\u201d creaba en realidad, de forma indirecta, una LLC gestionada por un administrador.<\/p>\n\n\n\n<p>Las normas tambi\u00e9n redefinen acertadamente t\u00e9rminos como \u201cfirma\u201d y \u201cescrito\u201d para adaptarlos al lugar de trabajo moderno. Anteriormente, no estaba claro si las copias, los correos electr\u00f3nicos y las firmas electr\u00f3nicas eran legalmente v\u00e1lidos seg\u00fan la legislaci\u00f3n estatal. Con las nuevas normas, los documentos electr\u00f3nicos, como los correos electr\u00f3nicos y los documentos con firmas electr\u00f3nicas, se incluyen expl\u00edcitamente como aceptables.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Cambios en el acuerdo operativo de una sociedad de responsabilidad limitada (LLC) de Florida<\/strong><\/h2>\n\n\n\n<p>Una sociedad de responsabilidad limitada se basa en contratos. Si bien los contratos entre la LLC y sus clientes son muy importantes, el contrato clave es el acuerdo operativo. El acuerdo operativo es el contrato que establece la propia LLC. La raz\u00f3n por la que un acuerdo operativo es tan importante en una LLC es que define cu\u00e1l es realmente el prop\u00f3sito de la empresa, la relaci\u00f3n entre los miembros de la LLC y cu\u00e1les pueden ser las obligaciones de cualquier administrador de la LLC.<\/p>\n\n\n\n<p>Las nuevas normas de Florida ampl\u00edan la definici\u00f3n de acuerdo operativo. Anteriormente, un acuerdo operativo pod\u00eda ser escrito u oral. Seg\u00fan las nuevas normas, los miembros pueden crear un acuerdo operativo mediante un \u201cregistro\u201d. Un registro puede ser cualquier informaci\u00f3n que lleve a una persona razonable a creer que se ha formado un acuerdo para crear una LLC. Adem\u00e1s, las nuevas normas proporcionan una orientaci\u00f3n predeterminada cuando el acuerdo operativo no dice nada al respecto. Eso significa que, si el acuerdo no establece los derechos y deberes de los miembros, los administradores o la propia empresa, el estado impone unas normas m\u00ednimas predeterminadas.<\/p>\n\n\n\n<p>Las nuevas normas tambi\u00e9n a\u00f1aden otras 11 disposiciones ineludibles. Una disposici\u00f3n clave es que, por lo general, un acuerdo operativo no puede eliminar los deberes de lealtad y diligencia que cada miembro y administrador tiene para con la empresa.
