Un APA s\u00f3lido describe y finaliza los t\u00e9rminos y condiciones relacionados con la compra y venta de activos tangibles o intangibles. Los APA son instrumentos legales que se utilizan con mayor frecuencia para transferir la propiedad de activos, o activos parciales, de una empresa. Los APA tambi\u00e9n pueden utilizarse para cubrir la transferencia parcial de activos de una empresa cuando el propietario no cede la empresa en su totalidad. Algunos de los activos m\u00e1s comunes que se incluyen en las transferencias parciales son:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Acciones y participaciones<\/li>\n\n\n\n<li>Instalaciones f\u00edsicas<\/li>\n\n\n\n<li>Equipos, como maquinaria.<\/li>\n<\/ul>\n\n\n\n<p><strong>Un contrato est\u00e1ndar de compraventa de activos se compone de una serie de art\u00edculos que concretan los detalles del acuerdo, entre los que se incluyen, entre otros: <\/strong><\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Pre\u00e1mbulo y considerandos<\/li>\n\n\n\n<li>Definiciones<\/li>\n\n\n\n<li>Detalles de la transacci\u00f3n<\/li>\n\n\n\n<li>Representaci\u00f3n y garant\u00edas del vendedor<\/li>\n\n\n\n<li>Representaci\u00f3n del comprador y garant\u00edas<\/li>\n\n\n\n<li><strong>Pactos<\/strong><\/li>\n\n\n\n<li>Condiciones de cierre<\/li>\n\n\n\n<li>Indemnizaciones<\/li>\n\n\n\n<li>Rescisiones<\/li>\n\n\n\n<li>Disposiciones generales<\/li>\n<\/ol>\n\n\n\n<p>Si bien todos los art\u00edculos mencionados anteriormente tienen su propia importancia, los pactos suelen ser la columna vertebral de los acuerdos de compra de activos, ya que cubren las expectativas en determinadas circunstancias, como lo que se permite durante el proceso de investigaci\u00f3n y durante el per\u00edodo de transici\u00f3n entre el inter\u00e9s del vendedor y la compra real.
