La empresa vendedora puede vender todos sus activos, la mayor parte de ellos o incluso solo una parte. Los acuerdos de compra de activos suelen ser complejos e implican que el comprador adquiera los activos, derechos y\/o pasivos del vendedor como parte de la compra. Es importante que los derechos del vendedor a vender y\/o ceder cualquier activo o pasivo se verifiquen y se sometan a un escrutinio mediante la debida diligencia en este tipo de transacciones.<br \/>T\u00e9rminos que suelen pasarse por alto en una APA:<\/p>\n<ul>\n<li>Declaraciones del vendedor sobre la titularidad libre de grav\u00e1menes o cargas.<\/li>\n<li>\u00a0T\u00e9rminos para los ajustes al cierre por cambios en el estado de los activos.<\/li>\n<li>Reconocimiento de las b\u00fasquedas adecuadas del UCC y del t\u00edtulo de propiedad de los activos.<\/li>\n<li>Divulgaci\u00f3n de cualquier litigio pendiente entre una parte que pueda tener inter\u00e9s en los activos que se venden.<\/li>\n<li>Informaci\u00f3n detallada sobre los activos que se transfieren e identificaci\u00f3n espec\u00edfica de cualquier cuenta o propiedad intelectual que se venda.<\/li>\n<li>Disposiciones predeterminadas claramente definidas en caso de que una de las partes incumpla un t\u00e9rmino o una declaraci\u00f3n antes del cierre.<\/li>\n<li>El proceso o el plazo para solicitar la aprobaci\u00f3n del propietario del comprador al hacerse cargo de la ubicaci\u00f3n del negocio forma parte de la venta.<\/li>\n<li>Contingencias relacionadas con la transferencia de las licencias necesarias para operar el negocio y soluciones en caso de que no se logre la transferencia.<\/li>\n<\/ul>\n<h2>Cu\u00e1ndo tiene sentido una APA<\/h2>\n<p>Un APA es ideal cuando se desea adquirir solo activos espec\u00edficos, como propiedad intelectual, patentes, equipos o bienes inmuebles, evitando al mismo tiempo las obligaciones de la empresa. Los APA se utilizan a menudo cuando el comprador busca una mayor protecci\u00f3n frente a riesgos como deudas pendientes, litigios pendientes u otras obligaciones. Por ejemplo, si una empresa con sede en Florida posee una tecnolog\u00eda valiosa, pero tambi\u00e9n tiene una deuda significativa, la compra solo del activo deseado a trav\u00e9s de un APA le permite eludir esas obligaciones financieras.<\/p>\n<p>Independientemente de si usted es el vendedor o el comprador, se recomienda encarecidamente contratar a un abogado para que represente sus intereses desde el inicio de la transacci\u00f3n.
